  2. a) This document is an electronic record governed by the Information Technology Act, 2000. It does not require physical or digital signatures.
  1. b) This document is published in compliance with the Information Technology (Intermediaries guidelines) Rules, 2011, and provides the rules, regulations, privacy policy, and Terms of Use for www.ayurmedixindia.com.
  2. c) The ownership and operation of the Website and its services are managed by Ayurmedix India, a Private Company incorporated under the Companies Act, 2013. The Company’s registered office is located in Shahabad Markanda, Haryana, India.
  1. d) Definitions: “You” or “User” refers to any legal person or entity accessing or using the Website. “We,” “Us,” and “Our” refer to the Website and/or the Company. “Party” and “Parties” refer to the User and the Company individually and collectively.
  1. e) Section headings are for organizational purposes only and have no legal value.
  1. f) By using the Website, the User agrees to be bound by these Terms and the Privacy Policy. The Terms and Policy are considered co-terminus.
  1. g) These Terms and the Policy constitute a legally binding agreement between the User and the Company. The User agrees to comply with the applicable rules, guidelines, policies, terms, and conditions.
  1. h) The Company reserves the right to amend or modify these Terms without prior notice. The User is responsible for reviewing the terms and continuing to use the Website signifies their acceptance.
  1. OUR SERVICES

Ayurmedix India is an online platform providing a wide range of ayurvedic and herbal products for better health. The Company offers high-quality products under the brand “Ayurmedix India” addressing various health concerns. Ayurmedix India operates as a D2C platform, allowing users to purchase products conveniently.

  1. ELIGIBILITY

By using this website, the User confirms that they possess the necessary competence and eligibility to enter into legally binding agreements. The user further represents that they have the requisite authority to bind themselves to these Terms, as determined solely by the provisions of the Indian Contract Act, 1872. If the User lacks the competence to contract under the Indian Contract Act, 1872, or is disqualified from doing so by any other applicable law, rule, or regulation, they may not use this website.

  1. TERM

These Terms constitute a valid and binding contract between the Parties and remain in full force and effect until:

  1. a) The User continues accessing and using the website, or
  2. b) Any transactions between the Parties conclude to their satisfaction.
  3. c) Please note that www.ayurmedixindia.com does not exercise control over any transactions on the website. Therefore, the sale of products on the website constitutes a strictly bipartite contract between you and Ayurmedix India on www.Ayurmedixindia.com.

The longer duration of the above conditions shall apply. The Parties agree that specific portions of these Terms (“Sections”), including Sections 13, 14, 16, and 18, shall continue to remain in full force and effect indefinitely, even after the expiration or termination of these Terms as described herein.

  1. TERMINATION

The Company holds the unilateral right to terminate the User’s access to the products and services provided on the Website, or any part thereof, at its sole discretion and without prior notice or cause. Despite termination, the User remains bound by these Terms until their expiration, as stated.

  1. FACILITIES PROVIDED BY THE WEBSITE
  1. Ayurmedix India serves as a platform where customers can access relevant information about Ayurvedic and Herbal Products. The platform offers products that address various health issues such as General Care, Critical Care, Men’s Care, Women’s Care, Child Care, Immunity Care and Personal Care. Customers can utilize these products with the assistance provided by the Company.
  1. Users can create an account on the Website by logging in using their third-party website user ID and password, including those from platforms like www.facebook.com, Yahoo Inc. or its subsidiaries, Google Inc. or its subsidiaries, Twitter, or other authorized social media websites or internet services (referred to as “Account Information”).

iii. Ayurmedix India offers natural Ayurvedic and Herbal products to Users. Please note that the color of the products may vary due to seasonal factors. All bottled packaging for Ayurvedic and Herbal products is BPA-free. While Ayurmedix India does not provide any representations or warranties regarding the specifics of the items or services offered on the Website (such as quality, value, or salability), the Company ensures compliance with relevant guidelines.

  1. By using the Website and providing their contact information to the Company, the User gives consent to receive calls, auto-dialed and/or pre-recorded message calls, emails, and SMSs from the Company, its affiliates, or partners at any time, subject to the Policy. If the User wishes to opt out of receiving marketing or promotional communication, they can send an email request to help@ayurmedixindia.com . The Company acknowledges that it may take up to seven (7) business days to process the request.

The User acknowledges that, despite opting out, they may still receive communications from the Company or its affiliates/partners related to any services availed on the Website or relevant matters.

Both Parties agree that any information shared by the User with the Company is governed by the Policy.

  1. TERMINATION

The User’s access to the products and services offered on the Website, or any part thereof, may be unilaterally terminated by the Company at any time and without notice or cause, at its sole discretion. These Terms will continue to bind the User, and it is agreed by the Parties that the User does not have the right to terminate these Terms until their expiration, as described above.

It is mutually agreed by the Parties that any information shared by the User with the Company shall be governed by the Policy.

  1. FEES AND PAYMENT
  1. a) Payments for the Services/Goods offered by Ayurmedix India can be made through various methods, including payment gateways such as CC Avenue, Net Banking, Credit card, Debit card, UPI, and other digital wallets.
  1. b) Goods and Services Tax (GST) on all the components mentioned above will be charged separately.
  1. c) Ayurmedix India reserves the right to hold or reclaim the payment in cases of abuse, fraud, or violation of the agreement.

However, the Company reserves the right to modify this fee policy for any or all services offered or sold. In such an event, the User will be notified of the changes when attempting to access the Website, and they will have the option to decline the services offered on the Website. Any changes made will come into effect immediately upon notification to the User, unless stated otherwise.

9.USER’S RESPONSIBILITIES AND OBLIGATIONS

  1. The User is responsible for providing accurate and complete information on the Website. If any User details are found to be false, Ayurmedix India reserves the right to reject registration and prohibit the User from using the Services without prior notice.
  2. The User agrees to comply with all notices or instructions provided by Ayurmedix India to facilitate the use of the Services.
  3. The User must carefully select the correct product and review the product description provided by Ayurmedix India to ensure the right product is delivered. Any orders placed on the Website are a commitment to purchase, and the User is obligated to complete the transaction without contesting it in any way. By placing an order for a product, the User agrees to be bound by the conditions of sale included in the item’s description.
  4. The User can track their order as soon as it has been shipped out. Tracking can be done through the link provided in the email sent to the User after placing the order. Alternatively, the User can log in to Ayurmedix India and visit the ‘My Account’ section to check the order status.
  5. The User is responsible for all applicable taxes and costs incurred when using the Website’s services.
  6. The User shall promptly make the payment to Ayurmedix India for the purchased goods as and when it becomes payable.
  7. The User agrees not to make bulk purchases for any re-seller or engage in any illegal activities. In such cases, Ayurmedix India reserves the right to cancel current and future orders and block the User’s account.
  8. If a product is listed with an incorrect price or information due to typographical or technical error, Ayurmedix India reserves the right to refuse or cancel any orders placed for the product listed at the incorrect price.
  9. The User shall indemnify and hold the Company harmless for any loss or damage arising from User’s failure to comply with applicable laws or regulations and for any breach of the warranties and representations mentioned herein.
  10. The User shall act in the best interest of the Company and ensure that no damage occurs to third parties (clients/customers) due to their actions or omissions.
  11. The User is prohibited from unauthorized use of information or software obtained from the Website. Reproduction, copying, modification, distribution, or sale of such information or software is expressly prohibited without the prior written permission of the Company. Any unauthorized use may result in legal consequences.
  12. The User is responsible for maintaining the confidentiality of their account and password and must restrict access to their computer to prevent unauthorized access to their account.
  13. The User is responsible for all activities that occur under their account.
  14. The User agrees to use their account on the Website for personal use only.

The User further undertakes not to:

  1. Abuse, harass, threaten, defame, or otherwise violate the legal rights of any person or entity.
  2. Engage in any activity that interferes with or disrupts access to the Website or the goods provided therein.

iii. Impersonate any person or entity or misrepresent affiliation with any person or entity.

  1. Publish or disseminate information that is harmful, harassing, defamatory, obscene, pornographic, libelous, invasive of privacy, hateful, or racially objectionable, or encouraging unlawful activities.
  2. Infringe the copyright, patent, or trademark of another person or legal entity.
  3. Upload or distribute files that contain viruses, corrupted files, or any other software or programs that may damage the operation of the Website.

vii. Download any file posted/uploaded by another User that is known or should reasonably be known to be distributed illegally.

viii. Probe, scan, or test the vulnerability of the Website or any network connected to it, or breach security or authentication measures. The User may not reverse look-up, trace, or exploit the Website or information available on it.

  1. Disrupt or harm the Website, systems, accounts, passwords, servers, or networks connected to the Website.
  2. Collect or store data about other Users of the Website.
  3. Use the Website for any unlawful or prohibited activity or solicit illegal activities that infringe the rights of the Website or any third party.

xii. Violate any code of conduct or guideline applicable to any particular product or service offered on the Website.

xiii. Violate any applicable laws, rules, or regulations within or outside India.

xiv. Violate any portion of these Terms or the Policy, including any additional terms applicable to the Website.

  1. Threaten the unity, integrity, defense, security, or sovereignty of India, or cause incitement to the commission of any offense, or insult any other nation.

xvi. Publish or disseminate false, inaccurate, or misleading information.

xvii. Trade or attempt to trade any prohibited or restricted items under any applicable law.

xviii. Cause the Company to lose the services of its internet service provider or disrupt services of any other supplier or service provider of the Company or the Website.

xix. Advertise, solicit, or sell products or services not displayed on the Website. The User may not send chain letters or unsolicited commercial or junk emails to other Users. Using information obtained from the Website to contact, advertise, solicit, or sell to another User without the express prior written consent of the Company is prohibited.

The User authorizes the Company/Website to disclose any information relating to the User to law enforcement or government officials if necessary for the investigation and resolution of possible crimes or to comply with legal requirements. The Company/Website has the right to remove or edit any content that violates the Terms or applicable laws, but the User remains responsible for the content they post on the Website. The Company/Website assumes no responsibility or liability for user-generated content, and the User accepts full responsibility for any consequences arising from publishing such material on the Website.

  1. COMPANY’S RESPONSIBILITIES, OBLIGATIONS, AND TERMS
  1. a) The Company will list item(s), products, or goods for sale on the Website in accordance with its policies.
  1. b) The Company will ensure that it has the legal authorization to sell the listed item(s) on the Website and possesses all the necessary licenses and permits required for such sales.
  1. c) The Company will maintain sufficient stock of the listed items to fulfill successful sales.
  1. d) The Company aims to ship all products of an order together for the best user experience. However, there may be instances where certain products are ready for shipment earlier than others. In such cases, the Company may choose to ship some products separately to ensure that the User does not experience any delays. The Company will notify the User each time a shipment is dispatched or out for delivery, allowing the User to track the shipment until it arrives.
  1. e) The Company is responsible for mentioning the approximate shipment/delivery time for each purchased product. However, the Company shall not be held liable for any delays or non-delivery of purchased goods due to force majeure events, including but not limited to floods, fires, wars, acts of God, or any event beyond the control of Ayurmedix India.
  1. f) The Company has a duty to accurately describe the item and provide the actual condition of the product to avoid misleading the User.
  1. g) The Company will deliver the purchased products to the Users through its logistics partner.
  1. h) The Company advises Users on the proper use of its products, including shaking the bottle before use, storing the product in a cool and dry place, refrigerating after opening, and consuming the product within three months after opening.
  1. Any individual residing in India and aged 5 years or older is a potential client for Ayurmedix India. Buyers residing outside India can access Ayurmedix India, but the charges of delivering the product will be different from the charges of the delivery in India’s territorial jurisdiction.
  1. j) Ayurmedix India grants a limited license to Users to access and make personal use of the website. However, Users are not permitted to download or modify the website or any portion of it, except with the express written consent of Ayurmedix India and/or its affiliates, as applicable.
  1. RETURNS, CANCELLATIONS, AND REFUNDS

Return Policy:

Please be aware that a product purchased can only be replaced and cannot be returned.

Users have 3 days from the date of delivery to place request of  replacement of their product.  Fraudulent or questionable returns will not be accepted. Users can contact our customer support or email help@ayurmedixindia.com  to report any issues with sellers or products.

Cancellation Policy:

Users can cancel their orders by logging into Ayurmedix India and using their User ID and Password. Once logged in, they can navigate to “My Account” to view order details. Locate the “Cancel” button and click on it to cancel the order.

Refund Policy:

Please be aware that we do not offer refunds. However, a product can be replaced if:

– Incorrect product selection by the customer

– damaged caused by improper handling of the product by the delivery partner.

  1. SUSPENSION OF USER ACCESS AND ACTIVITY

The Company reserves the right to limit a User’s access and/or activity without prior notice or cause, including but not limited to the following situations:

  1. a) Breach of these Terms or the Policy by the User.
  2. b) Provision of incorrect, inaccurate, incomplete, or misleading information by the User.
  3. c) Actions by the User that may cause harm, damage, or loss to other Users or the Website/Company, at the sole discretion of the Company.
  4. d) Unauthorized copying or duplication of content or information from the Website.
  1. INDEMNITY AND LIMITATIONS

By using the Website, the User agrees to defend, indemnify, and hold harmless the Website, the Company, and its directors, employees, officers, agents, affiliates, successors, and assigns from any claims, liabilities, damages, losses, costs, and expenses (including attorney’s fees) arising from the User’s actions or inactions, including breach of obligations under this Agreement, infringement of laws, infringement of intellectual property rights, non-payment of dues and taxes, libel or defamation claims, violation of privacy or publicity rights, loss of service to other subscribers, or infringement of third-party rights.

The Company/Website shall not be liable to compensate the User or any third party for any special, incidental, indirect, consequential, or punitive damages, including loss of use, data, or profits, whether foreseeable or not, and whether based on breach of contract, warranty, negligence, or any other theory of liability arising from the User’s use of or access to the Website and its products, services, or materials.

The limitations and exclusions mentioned above apply to the maximum extent permitted by applicable law. The Parties agree that if any statute, rule, regulation, or amendment would result in the Company/Website incurring liability, these Terms and the Policy will terminate one day before the effective date of such statute, rule, regulation, or amendment. This section’s contents shall survive the termination or expiration of the Terms and/or Policy.

  1. INTELLECTUAL PROPERTY RIGHTS

The User acknowledges that all trade names, trademarks, service marks, logos, domain names, information, questions, answers, solutions, reports, images, and other distinctive brand features displayed on the Website are the property of the Company. The User is not granted any rights to use these intellectual property assets unless expressly agreed upon in writing. The User may not use the intellectual property in a manner that causes confusion among Users or disparages the Company/Website. The Company retains exclusive ownership of all designs, graphics, and related materials created for the Website.

The Company provides a platform for the sale of these products but does not transfer any intellectual property rights to the User. Any reproduction or infringement of the owners’ intellectual property may result in legal action against the User by the respective owners.

  1. DISCLAIMER OF WARRANTIES AND LIABILITIES
  1. a) All products/services offered on the Website are provided on an “as is” basis without any express or implied warranties.
  1. b) The information accessed through the Ayurmedix India website and other channels is presented in summary form and may not be exhaustive. The Company makes no warranties or representations regarding the accuracy or completeness of the information. The information is provided “as is” without warranty of any kind, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
  1. c) The information available on the Website may contain forward-looking statements, which involve risks and uncertainties. Actual results may differ from these statements.
  1. d) The Company/Website does not guarantee uninterrupted or error-free functioning of the Website or its services, nor does it guarantee that the Website or its server will be free of viruses or other harmful components. The User accepts the associated risks when using the Website.

The contents of this section shall survive even after the termination or expiry of the Terms and/or Policy.

  1. SUBMISSIONS

Any content contributed by the User, including comments, feedback, ideas, suggestions, or initiation, to the Company or this Website shall grant the Company a royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, publish, distribute, display, create derivative works, and act upon such content in any media or technology. The User represents and warrants ownership or control of the rights to the contributed content, and that its use by the Company/Website does not violate any third-party rights. The User agrees to indemnify the Company/Website in case of any legal action related to such content.

  1. DISPUTE RESOLUTION AND JURISDICTION

The Parties agree to resolve any disputes through a two-step Alternate Dispute Resolution (ADR) mechanism. In case of a dispute, the Parties will attempt amicable resolution through mediation. If mediation fails, the dispute will be referred to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration award will be binding on both Parties. The Agreement is governed by Indian law, and the jurisdiction of the competent Courts in Kurukshetra is agreed upon.

  1. NOTICES

Any communication regarding disputes or grievances can be sent in writing via Registered Post Acknowledgment Due (RPAD) or Speed Post Acknowledgment Due (SPAD) to the registered office of the Company.

  1. MISCELLANEOUS PROVISIONS
  1. a) Entire Agreement: These Terms, along with the Policy, constitute the complete and final contract between the User and the Company, superseding all other communications, representations, and agreements related to the subject matter.
  1. b) Waiver: The failure of either Party to enforce any provision of these Terms does not waive their right to enforce it later. No waiver of any breach of these Terms shall be deemed a waiver of any other breach.
  2. c) Severability: If any provision of these Terms is deemed invalid, illegal, or unenforceable, it will not affect the validity and enforceability of the remaining provisions. The Terms will be reformed to the extent necessary to correct any invalidity while preserving the original intent of the Parties.
